Biosplice Therapeutics, Inc. (“Biosplice," “we," “our," or “us") respects your individual privacy. This Privacy Policy puts you in control of how your personal information is used in connection with any of our web sites, including biosplice.com and any other sites we sponsor or control that direct you to this policy (collectively, the “Site"). This Privacy Policy describes how we collect, use, and share personal and other information we obtain from users of the Site. We also want you to know about the choices you have when you visit the Site. This Privacy Policy applies only to the Site. By using the Site, you agree to this Privacy Policy. 1. WHAT WE COLLECT
When you visit or use the Site, we may collect or have access to information sent to us by your computer, mobile phone or other access device. The information sent to us may include data on the pages you access, your computer IP address, device identifiers, the type of operating system you are using, your location, mobile network information and other information. We may obtain such information through cookies and other tracking technologies. (See Section 2 below titled, "Cookies and Other Tracking Technologies.")
If you reach out to us via the "Contact us" prompt, submit a comment, complete a visitor survey, or other similar interaction with us through the Site, we may collect the following types of information from you: your name, email, address, phone number(s), information relating to your health or medical condition and/or other information that may be requested and/or provided.
You can freely visit many portions of our Site. However, some of our services and programs may require registration and/or the creation of a registered account (e.g., sign-up for an e-newsletter). If you create a registered account with us on the Site (and, thus, become a "Registered User", we (and/or our third party vendors and designees) may collect the following types of information from you:
- Contact information including your name, mailing address, phone number(s), email address and/or other similar information;
- Your age, birth date, gender, and/or health/medical condition;
- Password and log-in information related to your account;
- Information about and/or related to your interests, needs and preferences; and
- Other information as indicated at the time of your registration.
If you engage with our Site content through third-party social networking sites, we may have access to certain information associated with your social media account such as your name, email address, photograph(s), birthday, location, and people you follow or like. For information on controlling access to your personal information through social networking sites, you should review their privacy policies and terms of use.
The term "personal information" is used herein to describe information that can be associated with a specific person and can be used to identify that person. We do not consider personal information to include information that has been made anonymous or otherwise does not identify a specific user.
In situations where it is possible to do so, we may link personal information (such as your name and email address) with non-personal information (such as the unique identifier associated with your computer or mobile device). We may also link personal information with other generally or publicly available information to help us identify your preferences or interests. The information we collect may also be merged with information available from other sources such as companies that match email addresses with postal addresses and other information.
We may also obtain information (including your personal information) from third parties, including business affiliates (such as advertising or marketing platforms), data providers (such as information services providers or licensors), and public sources (such as social media platforms, websites, and forums).
2. COOKIES AND OTHER TRACKING TECHNOLOGIES
"Cookies" are small files that contain information sent by a web site that is saved on your computer’s hard drive. When you visit the Site, we may use (or authorize third parties to use) cookies and similar technologies (e.g., web beacons, pixel tags, etc.) (collectively, "Tracking Technologies") to help us recognize and serve you better by collecting information about you, your online behavior, your computer, and/or your mobile device to optimize Site functionality, collect statistics and deliver content tailored to your interests. Such information may include, without limitation, (i) the type/version of browser, operating system and software you are using (and when you update any of these); (ii) the domain name of your Internet service provider and your IP address; (iii) your geographic location; (iv) the pages you visit; (v) how long you visit each page; and (vi) other information about how you interact with the Site. We may also collect anonymized cookies and other data obtained through Tracking Technologies from third parties for ad-targeting purposes.
At this time, we do not recognize automated browser signals regarding tracking mechanisms, which may include "do not track" instructions. However, you can change some of your privacy preferences through your browser. For example, you may delete cookies from your computer or set your browser to reject cookies. However, doing so may limit some functionalities of our Site. Also, blocking or deleting browser cookies may not block or delete other types of cookies including flash cookies. 3. WHAT WE DO WITH THE INFORMATION WE COLLECT
A. Use by Biosplice.
We require the information that we gather for various reasons including the following: (i) to understand your needs, provide you with a better service, and respond to your inquiries; (ii) for internal record keeping; (iii) for internal analysis; and (iv) to administer and/or provide promotions, programs, products, services and offers for which you provided information. Subject to the provisions below, we may also use this information for other marketing-related purposes and other non-marketing-related purposes.
We may use the information to send you pertinent information about and/or related to your inquiry, request and/or business transaction with us.
We may use the information to improve our products and services, and to measure the number of visitors to the Site and the areas of the Site that are of most interest to visitors.
We may use the information to customize the Site.
We may use your personal information and other information for our own marketing purposes including, but not limited to, notifying you of new products, services, offers or other information via mail, email, telephone, text message, and other means. If you do not want us to use your personal information for marketing purposes, you may opt-out of such uses by notifying us in accordance with the procedure set forth below in Section 8 under the heading, "Controlling Your Personal Information."

B. Sharing with Biosplice Affiliates.
We may share your personal information and other information with our parent companies, subsidiaries and affiliates (i.e., affiliated businesses and operating companies) (collectively, "Biosplice Affiliates") for any purpose. If you do not want us to share your personal information with Biosplice Affiliates for marketing purposes, you may opt-out of such uses by notifying us in accordance with the procedure set forth below in Section 8 under the heading, "Controlling Your Personal Information." Although you may request to opt-out of sharing your personal information for marketing purposes with Biosplice Affiliates, we may share personal information with Biosplice Affiliates for non-marketing purposes.
C. Sharing with Business Partners and Other Third Parties.
We may share your personal information and other information with our business partners and other third parties for (i) non-marketing purposes; (ii) joint marketing purposes; and (iii) our business partners’ own marketing purposes. If you do not want us to share your personal information with our business partners and other third parties for marketing purposes, you may opt-out of such uses by notifying us in accordance with the procedure set forth below in Section 8 under the heading, "Controlling Your Personal Information."
D. Sharing of Information Collected Through Tracking Technologies.
Consistent with Sections 3(B) and 3(C) above, we may share information collected through Tracking Technologies with third parties for marketing and non-marketing purposes. For example, information collected through Tracking Technologies may be shared with Biosplice Affiliates and business partners for joint marketing purposes or for their own marketing purposes. We may also license or sell information collected through Tracking Technologies to third parties for marketing and non-marketing purposes. In addition, we may merge personal information with information collected through Tracking Technologies and with information we may obtain from other sources and, as a result, such information may become personal information.
E. Other Terms, Conditions and Limitations related to the Sharing of Information.
As noted above, if you do not want us to use or share your personal information for marketing purposes with third parties, you may opt-out in accordance with Section 8, "Controlling Your Personal Information" below. In some instances, you may also opt-out of the use of information collected through Tracking Technologies for online behavioral advertising in accordance with Section 8 below. Please note that even if you opt-out, we may still use or share your personal information for non-marketing purposes such as fulfilling your requests, responding to your inquiries, etc. In such cases, the companies with whom we share your personal information are authorized to use your personal information only as necessary to provide these non-marketing services.
We may share your information (including your personal information) with Biosplice Affiliates or with third parties (including contractors who provide services to us) to assist with any of the uses of personal information and other information described herein. For example, we may share and/or provide your personal information and other information with/to third parties that oversee, manage, handle and/or assist with the operation, administration, or maintenance of our Site. The privacy policies of such third parties may also apply.
We may also disclose your personal information and other information to third parties if disclosure is required to comply with applicable laws or regulations or where Biosplice may be required to share your information with third parties such as with health authorities to report possible adverse product experiences, during inspections or audits, or as ordered or directed by courts or other government agencies; or if disclosure is necessary to enforce our Privacy Policy and/or Terms of Use, to protect your safety or security, or the safety and security of our Site or third parties.
When we provide personal information to our business partners and other third parties, we require them to exercise reasonable care to protect such information and restrict the use of such information to the purposes for which it was provided to them.
4. INFORMATION COLLECTED BY THIRD PARTIES
Some content on our Site may be sponsored by or co-branded with third parties who may obtain personal information from you if you voluntarily participate in sponsored or co-branded activities such as promotions. When you provide your personal information to one of our partners in a co-branded setting, their privacy policy will detail how you may exercise choice regarding your personal information use and further sharing. We are not responsible for the information collection or privacy practices of such third parties. Therefore, you should review their privacy practices carefully before participating or providing personal information to such third parties.
Third parties may also serve advertisements and use Tracking Technologies to collect information about you and your activities at our Site such as the links you click, the advertisements you see and click, the categories of search terms you enter, etc. These companies may use the information collected at our Site and other websites for a variety of purposes including analytics and providing advertisements about goods and services that may be of interest to you. 5. SECURITY AND CONFIDENTIALITY
We are committed to ensuring that your personal information is secure, and we take reasonable steps to ensure that all of your personal information is secure. Unfortunately, no data transmission over the Internet or data storage system can be guaranteed to be 100% secure. If you have reason to believe that your interaction with us is no longer secure, please immediately notify us of the problem by contacting us at the email address or telephone number listed at the beginning of this Privacy Policy. All information that you share with us during the registration process and associated with your activities on the Site is sent to and stored on secure servers that are located in the United States and/or elsewhere. However, we undertake no obligation to maintain the confidentiality of non-confidential data such as questions, comments or ideas that you voluntarily provide to us. We reserve the right to use and disclose such non-confidential information as we deem appropriate. By voluntarily submitting feedback and other such information to us, you consent to these terms.
6. LINKS TO OTHER WEB SITES
Our Site may contain links to enable you to easily visit other web sites or web pages of interest that are not controlled by Biosplice. However, once you have used these links to leave our Site, you should note that we do not have any control over that other web site (though we may be able to track some of your activities on some of these sites). Therefore, we cannot be responsible for the protection and privacy of any information which you provide while visiting such sites/pages and such sites/pages are not governed by this Privacy Policy. 7. POSTING COMMENTS ON OUR SITE
We may permit you to post your own comments and other information at our Site ("Comments") through our comments platform. Comments posted at our Site are subject to our Privacy Policy. You should not post Comments that are private or that you do not want to be used and viewed by others as Comments may be identified as yours. You are solely responsible for any legal or other repercussions that occur as a result of Comments you post at our Site. We assume no responsibility or liability which may arise from your Comments.
8. CONTROLLING YOUR PERSONAL INFORMATION (INCLUDING HOW TO OPT-OUT OF CERTAIN USES)
You may choose to restrict the collection or use of your personal information in the following ways:
If you have previously not objected to us using your personal information for our direct marketing purposes, you may opt-out of receiving future marketing emails (and other electronic marketing communications) from us at any time by emailing us at privacy@biosplice.com with your opt-out request.
If you do not want us to share your personal information with Biosplice Affiliates, our business (and other) partners and/or other third parties for marketing purposes, you may opt-out of such sharing by emailing us at privacy@biosplice.com with your opt-out request.
If you believe that any information we are holding on you is incorrect or incomplete, please write to us (at the address located at the beginning of this Privacy Policy) or email us at privacy@biosplice.com as soon as possible. We will promptly correct any information found to be incorrect.
From time to time, we may use customer information for new, unanticipated uses not previously disclosed in our Privacy Policy. If our information practices change at some time in the future, we will post the policy changes to our Site to notify you of these changes. If you are concerned about how your information is used, you should check back at our Site periodically.
9. CALIFORNIA RESIDENTS: YOUR CALIFORNIA PRIVACY RIGHTS
California law requires certain businesses to respond to requests from California residents asking about the disclosure of personal information to third parties for third party marketing purposes. Alternately, such businesses may adopt a policy of not disclosing personal information to third parties for marketing purposes if a California resident has opted-out of such information sharing. As detailed above, our policy is to permit you to opt-out of having your information shared with third parties for direct marketing purposes. If you choose to opt-out at any time, follow the procedures set forth above in Section 8 under the heading, "Controlling Your Personal Information."
10. MINORS
The Site is directed to persons who are at least 18 years of age. In addition, we do not knowingly collect or allow the collection of personal information from persons under the age of 13. When you use the Site or disclose personal information, you are representing to us that you are the appropriate age. If you are the parent or guardian of a person under the age of 13 and believe that the person has provided personal information to us, please contact us at privacy@biosplice.com, and we will promptly delete the child’s information from our records.
11. BUSINESS TRANSACTIONS
We may share, assign or transfer your personal information and information collected through Tracking Technologies and other sources if we enter into a business transaction such as a merger, acquisition, reorganization, bankruptcy, or sale of some or all of our assets. Any party that acquires our assets as part of such a transaction may continue to use your information in accordance with the terms of this Privacy Policy.
12. VISITORS OUTSIDE OF THE UNITED STATES
We make no representation that the practices described in this Privacy Policy are compliant with laws outside of the United States including those that apply to the collection, security, use, and disclosure of personal information. Indeed, the United States may not offer a level of privacy protection as great as that offered in other jurisdictions.
13. REVISIONS TO THIS POLICY
We may revise the Privacy Policy from time-to-time in our sole discretion. Please visit this Site and review our Privacy Policy periodically for changes. By continuing to access or use our Site after changes become effective, you agree to be bound by the terms of the revised Privacy Policy.
